Notice is hereby given that the Annual General Meeting (meeting or AGM) of Foundation of Hearts Limited (Company) will be held at the Gorgie Suite, Tynecastle Park, McLeod Street, Edinburgh on Thursday 4 December 2025 at 6pm.

 

The business of the meeting will comprise

(1)  A report of the activities of the Company in 2025

(2)  Presentation of the Company’s report and financial accounts for the year ended 30 June 2025

(3)  Announcement of the results of the election to the Board of the Company

Notes to the notice of annual general meeting

 

Attending the meeting

1.

The right to attend, speak and vote at the AGM is determined by reference to the membership of the Company recorded in the register of members. Only full members of the Company on 2nd December 2025 (or, if the AGM is adjourned, 48 hours before the time appointed for the commencement of the adjourned AGM (excluding any part of a day that is not a working day)) shall be entitled to attend, speak and vote at the AGM (or any adjournment thereof). Associate members of the Company are entitled to attend the AGM but are not entitled to speak or vote at the AGM.

Appointment of proxies

As a member of the Company, you are entitled to appoint a proxy to exercise all or any of your rights to attend, speak and vote at the meeting, and a proxy form which you may print off, complete and return is available on the Company’s website (please note that members under the age of 16 and associate members are not entitled to vote). A proxy does not need to be a member of the Company, but must attend the meeting to represent you. You can only appoint a proxy using the procedures set out in the notes to the proxy form. Members should note that, as the business to be transacted at the meeting does not include any formal resolutions, the proxy appointment does not include a space for directing your proxy how to vote.

To be effective, the form of proxy must be completed in accordance with the instructions on the form and (a) received by the Company at c/o Heart of Midlothian FC, McLeod Street, Edinburgh EH11 2NL, or (b) attached to an e-mail and sent to the Company at info@foundationofhearts.org, in each case so as to be received no later than 6.00 p.m. on Tuesday, 2 December 2025.
